Terms of Service
These terms are the agreement between you and MyAIStaff LLC, Las Vegas, Clark County, Nevada, USA (“MyAIStaff”, “we”, “us”), for Perfectigo — the CRM and outreach part of MyAIStaff.
1. These terms
They cover the Perfectigo web app at app.perfectigo.com, its API at api.perfectigo.com, the Perfectigo mobile apps for iPhone and Android — including versions published for a customer under its own name — and the pages and widgets Perfectigo hosts for you (together, “the Service”).
By creating an account or using the Service you accept these terms. If you accept them on behalf of a company or other organization, you confirm that you may bind it, and “you” means that organization. Our Privacy Policy is part of these terms. If you and we sign a separate written agreement — an order form or a data processing agreement — it takes precedence where it conflicts with these terms.
These are not the terms for MyAIStaff’s AI-agent product, which has its own at myaistaff.com/terms-and-conditions.
2. Who may use Perfectigo
- You must be at least 18 and able to enter into a binding contract. Perfectigo is for business use.
- Give accurate information and keep it up to date. One person per sign-in: do not share yours.
- We may refuse, limit or close an account that breaches these terms.
3. Accounts, workspaces and roles
- Whoever signs up holds an account. Every workspace they create belongs to it, and the account holder alone sets its branding and which optional modules its workspaces have.
- Inside a workspace, Owners and Admins manage members and their roles. You are responsible for what the people you invite do in it.
- Keep passwords, API keys and tokens secret — they act as you. Tell us at admin@perfectigo.com straight away if you think someone else has got into your account.
4. Running Perfectigo for your clients
An account holder may run Perfectigo for its own clients under its own brand, with a workspace per client. If you do, you are responsible for your clients’ use of the Service, you must hold them to terms at least as protective of us as these, and their workspaces remain subject to these terms. We provide support to the account holder, not to its clients.
5. Your provider accounts
Perfectigo sends and enriches through accounts you connect: Mailgun for email, Twilio for SMS, OpenAI for AI features, Apollo for enrichment, and EventPlus for event leads. You are responsible for those accounts — their fees, their terms, their configuration, and their registration requirements, such as authenticating your sending domain and registering your SMS senders (for example A2P 10DLC or toll-free verification). We are not responsible for a provider’s availability or charges, or for a decision it makes about your account.
6. Your data
- You own your data — your contacts, content, files and settings (“Customer Data”). You allow us to host, copy, process, send and display it only as needed to provide and support the Service and to comply with the law.
- You are responsible for Customer Data: that it is accurate and lawful, and that you have the rights and the legal basis to give it to us and to message the people in it.
- For Customer Data we act as your processor (in US terms, your service provider). We process it only on your instructions — your use of the Service is your instruction — keep it confidential, protect it as the Privacy Policy describes, use only the providers it lists, help you answer requests from the people in it, tell you without undue delay about a breach that affects it, and delete it when your account ends (section 15). If you need a signed data processing agreement, ask us.
7. Messaging laws and consent
You must comply with every law and rule that applies to your messages — including CAN-SPAM, the Telephone Consumer Protection Act (TCPA), Canada’s anti-spam law (CASL), the GDPR and the UK’s PECR, state telemarketing laws, and the rules of mobile carriers and mailbox providers. In particular:
- Only message people who gave the consent the law requires. Marketing texts need prior express written consent.
- Never use purchased, rented, scraped or borrowed lists.
- Honour opt-outs at once, and never add back someone who opted out. Perfectigo enforces suppression lists, STOP replies and SMS quiet hours; do not work around them.
- Identify yourself honestly. Marketing email must carry accurate sender details and a valid postal address; Perfectigo will not send an email campaign without one.
Perfectigo records consent and helps you comply, but it cannot make a message lawful. You are responsible for your messages, their content and their recipients.
8. Acceptable use
Do not, and do not let anyone else:
- break the law with the Service, or use it to deceive, harass, threaten, defame or discriminate against anyone;
- send spam, phishing, malware, or sexually explicit, violent or hateful content;
- impersonate anyone, or spoof a sender, domain or phone number you do not control;
- collect or store information you have no right to, including sensitive information such as health, financial or government-ID data without a lawful basis;
- market to children, or knowingly store a child’s information;
- scrape, reverse engineer, probe or load-test the Service, or work around its rate limits, access controls or module switches;
- resell the Service except as section 4 allows, or use it to build a competing product.
We may remove content, pause sending or suspend an account that breaks these rules (section 14).
9. AI features
AI features run through your own OpenAI account. Their output can be wrong, out of date or unsuitable for your audience: review it before you send it, because you are responsible for what goes out. Do not use them to create deceptive or unlawful content. We do not train AI models on your data.
10. Fees
Fees for Perfectigo, if any, are those in your order or plan with MyAIStaff. Where none are agreed, the Service is provided without charge until we give you at least 30 days’ notice of fees. Nothing is sold inside the mobile apps. You pay your own provider charges (section 5) and any taxes that apply.
11. Our property
The Service, its software, design, documentation and brand belong to us or our licensors. We give you a limited, non-exclusive, non-transferable right to use the Service under these terms while your account is active. If you send us feedback, we may use it without obligation to you.
12. Confidentiality
Each of us will protect the other’s non-public information with reasonable care and use it only for this agreement. This does not cover information that is public through no fault of the receiving party, was already known to it, is independently developed, or must be disclosed by law (with notice where the law allows).
13. Availability and changes
We work to keep the Service available and your data safe, but we do not promise it will be uninterrupted or error-free. We may carry out maintenance, and we may add, change or remove features; where a change materially reduces what you rely on, we will tell you in advance where we reasonably can. Keep your own exports of anything you cannot afford to lose.
14. Suspension
We may suspend all or part of the Service at once if it is needed to protect the Service, our customers or the public — for example a security threat, unlawful or abusive messaging, high complaint rates, or a legal requirement — or if agreed fees go unpaid. We will tell you why where we can, and restore access when the problem is resolved.
15. Termination
- You may stop using Perfectigo at any time and ask us to delete your account (see perfectigo.com/delete-account).
- We may end these terms if you materially breach them and do not fix the breach within 15 days of notice, at once for serious or repeated breaches, or for any reason with 30 days’ notice.
- Export what you want to keep before your account ends. Afterwards we delete Customer Data within 30 days, except what the law requires us to keep; backup copies are overwritten within seven days after that.
- Sections 6, 7, 11, 12 and 16 to 23 survive the end of these terms.
16. Disclaimer of warranties
The Service is provided “as is” and “as available”. To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and that the Service will be uninterrupted, secure or error-free, or that messages will be delivered.
17. Limitation of liability
To the fullest extent the law allows:
- Neither of us is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, even if told they were possible.
- Our total liability for all claims relating to the Service or these terms is limited to the greater of the fees you paid us for the Service in the 12 months before the event giving rise to the claim, and US$100.
- These limits do not apply to your obligations under section 18, to amounts you owe us, or to your breach of sections 7 or 8.
18. Indemnification
You will defend and indemnify MyAIStaff, and its officers, employees and agents, against claims, losses and costs (including reasonable legal fees) arising from your Customer Data, the messages you send — including claims under the TCPA, CAN-SPAM and similar laws — your provider accounts, your clients if you run Perfectigo for others, and your breach of these terms or of the law.
19. Mobile apps and app stores
The Perfectigo mobile apps are licensed to you, not sold, for use on devices you own or control, under these terms and the rules of the store you got them from. If you got an app from Apple’s App Store:
- these terms are between you and us, not Apple, and we — not Apple — are responsible for the app and its content;
- Apple has no obligation to provide maintenance or support for the app;
- if the app fails to meet a warranty that applies, you may notify Apple, and Apple will refund any price you paid for it; Apple has no other warranty obligation for the app;
- Apple is not responsible for any claim about the app, including product liability, legal or regulatory compliance, consumer protection, or intellectual-property claims; we are, to the extent these terms say so;
- you confirm that you are not in a country subject to a US Government embargo, and are not on any US Government list of prohibited or restricted parties;
- Apple and its subsidiaries are third-party beneficiaries of these terms and may enforce them against you.
20. Governing law and disputes
These terms are governed by the laws of the State of Nevada, USA, without regard to its conflict-of-laws rules. Before starting any proceedings, the party with the dispute will send a written notice describing it — to admin@perfectigo.com if it is you, or to your account email if it is us — and we will both try in good faith to resolve it for 30 days.
If it is not resolved, it will be decided by final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator, in Clark County, Nevada, in English, and only on an individual basis — not as a class, collective or representative action. Either of us may instead bring an individual claim in small-claims court, or ask a court for urgent relief to protect intellectual property or confidential information. This arbitration agreement does not apply to residents of the EEA, the United Kingdom or Switzerland. Any dispute not subject to arbitration will be decided by the state or federal courts in Clark County, Nevada, and both of us consent to their jurisdiction.
21. Changes to these terms
We may update these terms. We will post the new version here with a new date and, for significant changes, tell you by email or in the app at least 15 days before they take effect. If you keep using the Service after that, the new terms apply; if you do not accept them, stop using the Service and ask us to delete your account.
22. General
- These terms, with the Privacy Policy and any signed agreement, are the whole agreement between us about the Service.
- You may not transfer them without our written consent; we may transfer them as part of a merger, acquisition or sale of our business.
- If a provision is unenforceable, the rest remain in force. Not enforcing a right is not a waiver of it.
- Neither of us is liable for delays caused by events beyond reasonable control.
- We may send you notices by email to your account address or in the app; send yours to admin@perfectigo.com.
- You will comply with US export controls and sanctions when you use the Service.
